Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions (“Terms”) form a binding agreement between you and NHBORHOOD (“NHBORHOOD,” “we,” “us”) governing your access to and use of the NHBORHOOD mobile application, admin/web application, and related services (the “Services”). By creating an account or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

2. Description of the Services

NHBORHOOD is a community platform that allows users to:

  • Find, and check in at courts;
  • Create, discover, and RSVP to events;
  • Form and join teams;
  • Buy and sell items through the marketplace; and
  • Connect socially with other users through posts, comments, and messages.

We may add, modify, or remove features at any time, with or without notice.

3. Eligibility and Accounts

  • You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to create an account; users under 18 must have permission from a parent or legal guardian.
  • You agree to provide accurate, current, and complete information and to keep it updated.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • Notify us immediately at support@nhborhood.com of any unauthorized use of your account.

4. Acceptable Use

When using the Services, you agree not to:

  • Violate any applicable law or the rights of others;
  • Harass, threaten, or abuse other users, including at courts or events;
  • Post false, misleading, defamatory, or infringing content;
  • List prohibited, stolen, counterfeit, or illegal items in the marketplace;
  • Attempt to gain unauthorized access to the Services, other accounts, or our systems;
  • Use bots, scrapers, or automated means to access the Services without our written consent; or
  • Interfere with the security, integrity, or performance of the Services.

We may investigate and take appropriate action, including suspending or terminating accounts, for violations of this Section.

5. User Content and License

You retain ownership of content you submit to the Services (“User Content”), such as posts, photos, comments, event listings, and marketplace listings. By submitting User Content, you grant NHBORHOOD a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and distribute your User Content solely to operate, promote, and improve the Services. You represent that you have the necessary rights to grant this license and that your User Content does not infringe third-party rights.

We may remove User Content that violates these Terms or applicable law, at our discretion.

6. Events and Court Bookings — Assumption of Risk

Events and court activities arranged through the Services often involve physical activity and interaction with other users at third-party venues that NHBORHOOD does not own or control. You acknowledge and agree that:

  • Participation in events, court sessions, or related activities is voluntary and at your own risk;
  • NHBORHOOD is not responsible for the conduct of other users, venue conditions, or injuries occurring at events or courts;
  • You are solely responsible for assessing your own fitness to participate and for complying with venue rules; and
  • You should exercise judgment when meeting other users in person and follow standard personal-safety practices.

7. Marketplace Terms

The marketplace allows users to buy and sell items directly with one another. NHBORHOOD is not a party to transactions between users and does not own, inspect, or guarantee any listed item unless expressly stated.

  • Sellers are responsible for the accuracy of their listings and for complying with applicable consumer protection, product safety, and tax laws;
  • Buyers are responsible for evaluating listings before purchase;
  • Payments are processed by our third-party payment processor, subject to that processor’s terms; NHBORHOOD may charge service or transaction fees, which will be disclosed before you complete a transaction; and
  • Disputes between buyers and sellers should first be resolved between the parties; NHBORHOOD may, but is not obligated to, assist in resolving disputes.

8. Fees and Payments

Certain features (e.g., marketplace transactions, premium event or team features) may involve fees, which will be disclosed to you before you incur them. All fees are non-refundable except as required by law or as otherwise stated at the time of purchase. You authorize us and our payment processor to charge your chosen payment method for applicable fees.

9. Intellectual Property

The Services, including all software, design, text, graphics, and trademarks (excluding User Content), are owned by NHBORHOOD or its licensors and protected by intellectual property laws. Except for the limited license to use the Services as intended, no rights are granted to you in our intellectual property.

10. Third-Party Services and Links

The Services may link to or integrate with third-party websites, venues, or services that we do not control. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms and privacy policies.

11. Privacy

Our collection and use of personal information in connection with the Services is described in our Privacy Policy, which complies with the GDPR, CCPA/CPRA, and applicable cookie-consent requirements, and is incorporated into these Terms by reference.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THIS SECTION LIMITS ANY WARRANTY OR RIGHT THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, INCLUDING CONSUMER PROTECTION LAWS THAT MAY APPLY IN YOUR JURISDICTION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NHBORHOOD AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NHBORHOOD IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) US $100. THIS SECTION DOES NOT LIMIT LIABILITY WHERE PROHIBITED BY LAW, INCLUDING FOR EU/UK CONSUMERS WHERE MANDATORY CONSUMER PROTECTIONS APPLY.

14. Indemnification

You agree to indemnify and hold harmless NHBORHOOD and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your User Content, or your use of the Services, to the extent permitted by applicable law.

15. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access to the Services if you violate these Terms, pose a risk to other users, or for other legitimate business reasons, with notice where reasonably practicable. Sections that by their nature should survive termination (e.g., Intellectual Property, Disclaimers, Limitation of Liability, Dispute Resolution) will survive.

16. Dispute Resolution and Governing Law

These Terms are governed by the laws of North Carolina, United States of America, without regard to conflict-of-law principles, except where mandatory local consumer protection or data protection law requires otherwise (including for EU, UK, and California consumers, who retain any non-waivable rights under their local law).

17. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes through the Services or by other reasonable means. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

18. General

  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and NHBORHOOD regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
  • No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment: You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
